Jeff M. Schagren

Jeffrey M. Schagren joined RSC most recently from an AmLaw 100 law firm where he was a member of the firm’s Commercial Litigation, Labor, Employment Law, Retail & Hospitality and Cannabis, Hemp & CBD practice groups.

Jeff is a skilled lawyer and mediator with experience working in Fortune 500 and industry leading public and private companies, government and Am Law 100 national and international law firms.

Jeff cares deeply about providing his clients with practical, effective and cost-efficient legal advice. He focuses his practice on small company startups, complex contract negotiations, major business transaction agreements, negotiation and drafting, litigation and crisis management, corporate governance, real estate development and franchising, regulatory compliance, employee and labor relations, collective bargaining, and strategic planning.

Jeff negotiates and drafts numerous company documents including purchase and sales agreements, construction and contractor agreements, financing agreements and performs due diligence for all levels of real estate transactions including raw land (greenfield) and existing assets. He also handles litigation including labor and employment disputes, breach of contract, non-compete and non-solicitation disagreements, construction defects (hotel), eminent domain, lease defaults, easement disputes and evictions.

While working as a mediator in Maryland, his patience, knowledge and trustworthiness as a third party neutral coupled with his extensive and successful legal practice is what set him apart from other mediators. Jeff was known as being particularly adept at guiding parties to successfully settle cases that many thought unresolvable. He has completed the requisite training to mediate in Texas and is now bringing the same skill level to our firm’s alternative dispute resolution practice.

He also enjoys training for all levels of management and employees for his clients on corporate, legal, risk and crisis management and human resources issues.

    • Represents retail company on labor and employment matters including human resources audits, RIFs and terminations
    • Represents franchisors and franchisees including franchisee of a major casual dining chain providing counseling on corporate legal issues, real estate, expansion, labor and employment.
    • Represented Startup Company that grows and produces hemp and premium quality CBD products in Texas. Assists in all areas relevant to the business including permitting, regulatory requirements, investment, disclosure statements, intellectual property and cross marketing opportunities.
    • Negotiated business divorce between co-owners of a small B2C company.
    • Member of Legal team in $2.9 billion acquisition of a global hotel management company by a French multinational hospitality company.
    • Key participant in successful $2 billion divestiture of a U.S. budget hotel chain from a French multinational hospitality company to a private equity group.
    • Aided in the development of a boutique hotel brand in the United States including participating in LOI and PSA negotiations and drafting the Management Agreement and Technical Services Agreement templates for its existing locations and prospective locations across the country.
    • Worked with leading national hotel chain to develop and draft a Management Agreement for a dual-branded property that will serve as a model for future management agreements.
    • Advised major London retailer and drafted memorandum on federal and state human resources laws for the company’s entry into the United States market.
    • Provided recommendations regarding payroll, unions, compensation and benefits (hourly through executive level), workers compensation, employee handbook, workplace safety, employment agreements and culture.
    • Revised, rewrote and negotiated master dealer agreement, lease agreements (individual states, multistate and Uniform Consumer Credit Code) and negotiated and drafted joint venture agreements, vendor agreements and the first of its kind in the industry white label agreement for leading auto finance company.
    • Negotiated and drafted “Manchise” agreement for two hotel project in Toronto, Canada.
